ระหว่าง บริษัท เอบีซี จำกัด ("ผู้ซื้อ") กับ บริษัท เอ็กซ์วายซี จำกัด ("ผู้ขาย") ทั้งสองฝ่ายตกลงทำสัญญามีข้อความดังต่อไปนี้
ข้อ 1. ทรัพย์สินที่ซื้อขาย ผู้ขายตกลงขายและผู้ซื้อตกลงซื้อทรัพย์สินตามรายละเอียดแนบท้ายสัญญา (ภาคผนวก ก.) ซึ่งรวมถึงซอฟต์แวร์ลิขสิทธิ์ อุปกรณ์ฮาร์ดแวร์ และสิทธิ์การใช้งานทั้งหมดที่เกี่ยวข้อง รวมเป็นเงิน 15,500,000 บาท (สิบห้าล้านห้าแสนบาทถ้วน)
ข้อ 2. หลักประกัน ผู้ซื้อตกลงวางหลักประกันเป็น ที่ดินโฉนดเลขที่ 12345 ต.บางรัก อ.เมือง จ.กรุงเทพฯ เนื้อที่ 2 ไร่ 1 งาน ประเมินมูลค่า 20,000,000 บาท โดยจดทะเบียนจำนองต่อสำนักงานที่ดิน
ข้อ 3. ระยะเวลา สัญญาฉบับนี้มีผลบังคับใช้ตั้งแต่วันที่ลงนามจนถึง 31 ธันวาคม 2570 เว้นแต่คู่สัญญาฝ่ายใดฝ่ายหนึ่งจะบอกเลิกสัญญาล่วงหน้าเป็นลายลักษณ์อักษรไม่น้อยกว่า 90 วัน
ข้อ 4. การชำระเงิน ผู้ซื้อตกลงชำระค่าทรัพย์สิน รายเดือน เดือนละ 500,000 บาท ภายในวันที่ 5 ของทุกเดือน โดยโอนเข้าบัญชีธนาคารกรุงเทพ เลขที่ 123-4-56789-0 ชื่อบัญชี บจก. เอ็กซ์วายซี
ข้อ 5. การผิดสัญญา หากผู้ซื้อผิดนัดชำระเงินเกิน 30 วัน ผู้ขายมีสิทธิ์เรียกค่าปรับร้อยละ 1.5 ต่อเดือนของยอดค้างชำระ และหากผิดนัดติดต่อกัน 3 งวด ผู้ขายมีสิทธิ์บอกเลิกสัญญาทันที
ข้อ 6. การรับประกัน ผู้ขายรับประกันว่าทรัพย์สินที่ขายปราศจากภาระผูกพันและข้อพิพาทใดๆ ทั้งสิ้น
ข้อ 7. กฎหมายที่ใช้บังคับ สัญญาฉบับนี้อยู่ภายใต้บังคับของกฎหมายไทย ข้อพิพาทใดๆ ให้ระงับโดยอนุญาโตตุลาการตามข้อบังคับสถาบันอนุญาโตตุลาการ
